Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MIDMERGERS platform, website, and related services (collectively, the "Services"), operated by MIDMERGERS, an Arkstons Group Initiative ("MIDMERGERS", "we", "us", or "our").

By creating an account, subscribing to a plan, or otherwise using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements.

MIDMERGERS is designed for M&A professionals, financial institutions, corporate development teams, legal advisors, and institutional investors. We reserve the right to refuse service to anyone for any reason at any time.

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these obligations.

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or outdated.

Access to the Services is provided on a subscription basis. Fees are charged in advance on a monthly or annual basis, depending on the billing cycle you select. All fees are stated in US Dollars and are exclusive of applicable taxes, which will be charged where required by law.

Subscriptions automatically renew for successive periods unless cancelled before the end of the current billing cycle. You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of the current paid term.

We reserve the right to change our pricing upon notice. Price changes will take effect at the start of the next billing cycle following the notice.

Certain plans may include a free trial period. At the end of the trial, your subscription will automatically convert to a paid subscription unless cancelled before the trial ends.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

- In any way that violates applicable laws, regulations, or professional standards.

- To scrape, crawl, spider, or systematically retrieve data from the platform without our written consent.

- To share your account credentials with unauthorized individuals or exceed the seat limits of your subscription tier.

- To upload, transmit, or distribute any viruses, malware, or other harmful code.

- To interfere with or disrupt the integrity or performance of the Services.

- To attempt to gain unauthorized access to the Services, accounts, or systems.

The Services, including all software, algorithms, databases, text, graphics, logos, trademarks, and other content provided by MIDMERGERS, are protected by intellectual property laws and are owned by us or our licensors. These Terms do not grant you any right, title, or interest in the Services or our content.

You retain ownership of any data, notes, watchlists, or other content you input into the platform ("User Content"). By uploading User Content, you grant us a limited license to use, process, and display it solely for the purpose of providing the Services to you.

You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code of our software, except as permitted by applicable law.

MIDMERGERS provides M&A intelligence, predictive analytics, and market data for informational and analytical purposes only. While we strive for accuracy and transparency, we do not guarantee the completeness, timeliness, or accuracy of any data, predictions, or insights provided through the platform.

The Services are not intended to constitute investment advice, legal advice, or professional recommendations. You are solely responsible for any decisions, transactions, or strategies you undertake based on information obtained through the Services. We strongly recommend consulting qualified financial, legal, and tax professionals before making material decisions.

You acknowledge that the Services may provide access to non-public, sensitive, or proprietary information about companies, transactions, and market participants. You agree to handle such information in accordance with applicable confidentiality obligations and professional standards.

You may not disclose, distribute, or use any non-public information obtained through the Services for purposes other than your own internal analysis and decision-making, except as required by law.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include violation of these Terms, non-payment of fees, fraudulent activity, or conduct that we determine to be harmful to other users or the platform.

Upon termination, your right to use the Services ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, warranty disclaimers, indemnity, and limitations of liability.

To the maximum extent permitted by law, MIDMERGERS and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Services.

Our total liability to you for any claim arising from or relating to these Terms or the Services shall not exceed the amount you paid to us for the Services in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless MIDMERGERS and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MIDMERGERS is registered, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body, except where prohibited by applicable law.

We may modify these Terms from time to time. Material changes will be notified to you via email or through the platform at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Services before the changes take effect.
